Ethics and Compliance

As a leading provider of products, services and technologies supporting the healthcare industry, CareFusion and our employees worldwide take very seriously our responsibility to comply with all applicable legal requirements and to conduct business responsibly and with integrity. Our customers, shareholders and suppliers count on it, and our company's continued success depends on it.

The Code of Conduct, available in multiple languages, is the foundation of the program of how we work responsibly and with integrity. It is authorized and supported by the CareFusion board of directors and senior leadership of CareFusion. Overall responsibility for the ethics and compliance program rests with the chief compliance officer with oversight from the chief executive officer and the Audit Committee of the CareFusion board of directors.

The CareFusion Conduct Line is available 24 hours-a-day, seven days-a-week to employees and third parties to confidentially and, if desired, anonymously raise issues about the business conduct of CareFusion and its employees. In the United States, call 866.363.1656. Outside of the United States, you may view the International Phone Numbers list to find the direct-dial number. Multi-lingual representatives are available; however, you may need to wait briefly while an appropriate representative is brought on the line.

Please note that if you are located inside of the European Economic Area*, Switzerland or Canada, the CFN Conduct Line can be confidentially used only for concerns regarding SOX-related matters.** Your use of the CareFusion Conduct Line is optional and secondary to the other reporting channels that you will find on the Quick Resources List located in the Code.

Furthermore, it is important to note that under Swiss law, CareFusion must protect “Swiss business secrets”, which are defined very broadly. In order to meet that requirement, CareFusion has established a dedicated, separate Conduct Line which is meant for seeking guidance and raising questions or concerns on Swiss-related matters

In addition to the Conduct Line, you may also submit written concerns or reports of possible violations regarding accounting, auditing, internal controls or financial reporting to the chairperson of the CareFusion Audit Committee of the board of directors:
